We work for a number of the UK clearing banks and well-known financial institutions, for which we have approved panel status, advising on a broad range of financial transactions.
We also represent borrowers, whether private clients, as part of our niche agricultural banking and finance practice, or corporate clients in relation to securing acquisition finance, development finance and working capital, whether purely as debt or where there is a mixture of debt and equity investment.
The team works closely with our commercial property team to ensure that services provided are delivered in a consistent, cost effective and timely manner. We pride ourselves on being pro-active and collaborative, with an emphasis on results without compromising the quality of service that we provide.
We typically advise on:
- debt arrangements (both senior and subordinated), including overdraft and short-term working capital facility letters, term and revolving credit facility documents, invoice discounting and factoring agreements and loan note instruments;
- private equity investment agreements and related articles of association;
- security, covering both bilateral and group arrangements, including security over specific assets, such as receivables, stock and real estate; and
- creditor priority issues and intercreditor agreements.
We also advise lenders on recovery issues, in particular on the enforcement of security and rights as against other secured and unsecured creditors and corporate clients on business recovery and insolvency issues. This is undertaken in conjunction with our litigation team, to ensure a robust, no-nonsense approach is taken where this is required.
