The Corporate Team of Trethowans Solicitors has acted for Industrial Cleaning Equipment (Southampton) Limited (ICE) on its acquisition of Cleaning Equipment Supplies Limited (CES), which completed last month (December 2016).
ICE is a prominent cleaning equipment supplier, based on the South coast. The organisation has a strong reputation for their innovative approach to equipment solutions for businesses, working within the retail, leisure, healthcare and education industries.
"This is a very exciting and strategic acquisition for the ICE business. We have been in discussion with CES for some time, to learn about how this opportunity could benefit both organisations and its customers. We feel really positive about the CES business, its people and what it can bring to the ICE group", says Mark Bresnihan CEO of ICE.
Sean Edwards, one of the founders of CES, will stay with the organisation and assume the responsibility of Business Director for the CES division. He also joins the ICE senior management team with immediate effect. "Sean is a highly experienced and motivated industry professional, and we are delighted to have him as part of the team going forward. His knowledge and efforts will be crucial to our development strategy for the CES business going forward”, Bresnihan went on to say.
Sean said: "I am delighted to be joining such a driven and exciting business as ICE. Having spent a considerable amount of time in the company understanding the culture and model, ICE’s ability to offer something completely different in rental, asset management and national service really does represent a truly exciting future for the CES business and its customers. Some of the very different innovations that are coming through have really delighted me, and I am sure once launched next year will create many more opportunities for us".
The CES business and brand will remain independent, along with its offices and workshops in the South Wales area.
The corporate aspects of the transaction were dealt with by Mike Watson and Jamie Earley, who were supported by Tom Mitchell (Commercial Property) and Kathryn Casey Evans (Employment). Mike Watson said: “The team here at Trethowans has acted for ICE for a number of years. So it was a pleasure to work with them again on this transaction and to assist them in their continued expansion and development of the business. We had a fairly challenging timetable which, I am pleased to say, we delivered on.”
Chief Financial Officer of ICE, Kevin Silverwood, who led the acquisition at ICE said of Trethowans: “Working in conjunction with Mike, Jamie, and the team at Trethowans ensured the smooth and timely running of the transaction process. Having a team of specialists close at hand ensured we got the right advice, at the right time. We look forward to working closely with Trethowans in the future as ICE continues to grow.”
