The Charites team at Trethowans is proud to have acted as legal advisers to The Kings Theatre in Portsmouth on its successful merger with New Theatre Royal, a significant moment for the city’s cultural and charitable landscape.

The two historic venues will now operate under a shared group structure, led by Kings Theatre CEO Richard Pearce and with Damon Repton taking on the role of Chair across both Boards of Trustees. This collaborative step marks a new chapter in Portsmouth’s rich theatrical history and represents a commitment to securing the long-term future of these much-loved institutions.

Our specialist Charities partner, Kirsteen Hook, led on the governance aspects of the merger, ensuring regulatory compliance and a smooth transition within the required timeframe. Kirsteen was supported by apprentice solicitor Ellie Yeoman. The combined theatres will now be better placed to deliver a sustainable and inclusive programme of arts and community engagement, while preserving the legacy of two of the few remaining operational Frank Matcham theatres in the country.

Kirsteen Hook commented on the transaction: “We were delighted to work alongside the trustees and leadership team at The Kings Theatre on this landmark project. As dedicated charities lawyers, we understand the importance of clear structures and strong governance in enabling cultural organisations to thrive. We look forward to seeing The Kings Theatre and New Theatre Royal continue to grow their impact and strengthen Portsmouth’s identity as a creative and cultural hub.”
