The Corporate team at Trethowans has advised Just Develop It Limited (JDI) on its sale of the entire issued share capital of Skylark Golf & Country Club Limited to Time GB Group.

JDI acquired the golf and country club in 2013 and quickly made several improvements, with planning permission sought and granted for a new pro-shop and sports bar, along with improvements made to the gym and spa facilities. The 18-hole parkland course is famous for its exquisitely maintained course and strategically placed bunkers. JDI also developed the club as a premier wedding and event venue on the South Coast.

Trethowans prepared and negotiated the disposal documentation and dealt with the legal process throughout. The Trethowans team consisted of Senior Associate Jamie Earley who dealt with the corporate aspects and Commercial Property Partner, Sarah Humphrey – this was the same team that acted for JDI on its acquisition of the club in 2013.

Dan Richards now COO of JDI was the original managing director of Skylark, said: “I’d like to thank Jamie and Sarah for their hard work in getting this transaction – which was not straightforward – across the line. As always, they delivered a good service which included striking the right balance between legal and commercial issues with their advice.”

“I am really excited to see Skylark continue to grow in the next phase of its development and know that it is in safe hands with the Time GB, a RoyaleGroup company. I look forward to continuing to enjoy a round or two at the course.”

Jamie Earley, corporate senior associate at Trethowans, commented: “We were delighted to assist JDI with its disposal. I acted on their acquisition quite early on in my career, so was especially pleased to also help JDI realise this investment. The transaction involved us working to tight timescales; completion took a little over three weeks from when we were first instructed.”

JDI have invested in more than 100 people, products and ideas. Such investments span a wide range of industries from technology to property and from the UK to the US. Skylark is one of the longest standing investments of the JDI group and represented one of its first acquisitions.

Time GB, a RoyaleGroup company, were represented by Birketts LLP in Cambridge.
