Charlotte is an Associate Solicitor in the Restructuring & Insolvency Team, based in the Southampton office. She advises on both contentious and non-contentious matters for insolvency practitioners, directors, companies, and individuals. Charlotte’s experience includes corporate and personal insolvency, advising on the risks associated with entering the zone of insolvency, restructuring strategies, and insolvency litigation.
Charlotte regularly acts for directors and businesses that are experiencing financial difficulties, and provides support at board meeting on directors’ duties, potential liabilities, safeguarding creditors interests and contingency planning.
Insolvency practitioner and directors regularly engage Charlotte in relation to pursing and defending claims and antecedent transactions. These include overdrawn directors loan accounts, unlawful dividends, preference payments, transactions at an undervalue and misfeasance (breach of duty) claims. Charlotte is well known for taking a pragmatic and commercial view in relation to settlement negotiations.
Charlotte has a specialism in relation to technical administrators’ applications under the Insolvency Act 1986, including selling property free of security (paragraph 71 of schedule B1 of the Insolvency Act 1986).
In recent years there has been a rise in companies entering liquidators following investigations by the FCA where the company was undertaking regulated financial services activities, without being registered with the FCA. Charlotte has experience of liaising with the FCA in relation to the practicalities of dealing with investors impacted by unregulated financial schemes.
Charlotte also provides support where businesses and assets are being sold via a pre-pack administration, along with advising on the re-use of a company’s name (s.216 of the Insolvency Act 1986).
